1. Acceptance of Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("User," "you," or "your") and First Look Beauty, LLC ("First Look," "we," "us," or "our") governing your access to and use of the First Look platform, including our website, presentation and video tools, dashboards, and related services (collectively, the "Service"). By creating an account, logging in, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

First Look provides a platform that allows medical spas and their staff to create, manage, and share client-facing video presentations, provider profiles, and related marketing and communication content. We may add, change, or discontinue any feature or functionality of the Service at any time, with or without notice.

3. Eligibility and Account Registration

You must be at least 18 years old and able to form a legally binding contract to use the Service. When you register for an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@firstlook.beauty if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, federal, or international law or regulation;
• Upload or transmit content that is unlawful, defamatory, deceptive, or infringes another party's rights;
• Upload content depicting a client or patient without the consent required by applicable law (including HIPAA, where applicable);
• Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except where permitted by law; or
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent.

5. User Content and Intellectual Property

You retain ownership of the images, videos, and other content you upload to the Service ("User Content"). By submitting User Content, you grant First Look a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service to you. You represent that you have all rights and consents necessary to upload your User Content and to grant this license, including any consents required from clients or patients depicted in it.

The Service, including its software, design, graphics, and trademarks (excluding User Content), is owned by First Look or its licensors and is protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service.

6. Third-Party Links and Services

The Service may contain links to or integrations with third-party websites or services that are not owned or controlled by First Look. We are not responsible for the content, policies, or practices of any third-party sites or services, and your use of them is at your own risk and subject to their own terms.

7. Fees and Payment

If you purchase a paid subscription or plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as otherwise stated in your order. We may change our fees on a going-forward basis with reasonable advance notice.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and safeguard information. By using the Service, you consent to the practices described in that policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, First Look Beauty, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless First Look Beauty, LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. You may stop using the Service and request deletion of your account at any time by contacting support@firstlook.beauty. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by posting an updated version with a new "Last Updated" date or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.
